Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Hercules Holdings LLC ("Company," "we," "us," or "our"), the operator of CrediMax. By accessing or using CrediMax — including the iOS application, the website at credimax.app, and any related services (collectively, the "Service") — you agree to these Terms.

If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Description of Service

CrediMax is an AI-powered credit card optimization tool that analyzes your spending history and card portfolio to recommend which credit card to use at the point of purchase to maximize rewards. The Service includes:

• AI-driven card recommendations at the point of purchase
• Financial account linking via Plaid to import transaction history
• Portfolio management and rewards optimization analysis
• An AI advisory assistant for credit card and rewards-related questions
• Spending analytics, financial health metrics, and forecasting features

The Service is in active development. Features may be added, modified, or removed at any time. We will communicate material changes to the Service.

Eligibility

You must meet the following requirements to use CrediMax:

• You must be at least 18 years of age
• You must be a resident of the United States
• You must have the legal capacity to enter into a binding contract
• You must not have been previously suspended or removed from the Service

By using the Service, you represent and warrant that you meet all eligibility requirements. We reserve the right to refuse service to anyone for any reason at any time.

Account Registration

To access most features, you must create a CrediMax account. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password confidential and not share account access
• Notify us immediately of any unauthorized use of your account at security@credimax.app
• Accept responsibility for all activity that occurs under your account

We reserve the right to disable any account if we believe you have violated these Terms.

Financial Data & Plaid

CrediMax integrates with Plaid Technologies, Inc. to retrieve your financial data. By connecting a financial account, you:

• Authorize CrediMax to access your transaction history, account balances, and related data via Plaid
• Agree to Plaid's End User Privacy Policy
• Represent that you are the authorized account holder or have permission to link the account
• Acknowledge that the accuracy of recommendations depends on the completeness of synced data

You may disconnect linked accounts at any time through the app. Disconnecting will remove our access to future data; historical transaction data previously synced will be deleted pursuant to our Privacy Policy.

Subscription & Billing

Free Trial: CrediMax offers a free period of three (3) months from the date of account creation, during which all features are available at no charge.

Pro Subscription: After the free period, continued access to premium features requires a Pro subscription at $3.99/month, billed through Apple's App Store in-app purchase system.

• Subscriptions automatically renew unless cancelled at least 24 hours before the renewal date
• You can manage or cancel your subscription at any time in your Apple ID account settings
• Refunds are subject to Apple's standard refund policies — we do not process refunds directly
• We reserve the right to change pricing with 30 days' advance notice

Some features may remain available at no charge after the free trial. We will clearly communicate which features require a Pro subscription.

Not Financial Advice

Recommendations provided by CrediMax are based on algorithmic analysis of your transaction data and publicly available card reward structures. They may not account for your complete financial situation, risk tolerance, credit score implications, or other relevant factors.

You should consult a qualified financial professional before making significant financial decisions. You acknowledge that your use of any recommendations is entirely at your own discretion and risk.

Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party right
• Provide false, misleading, or fraudulent information
• Attempt to access another user's account or data
• Reverse-engineer, decompile, or disassemble any part of the Service
• Scrape, crawl, or use automated means to access the Service without written permission
• Interfere with or disrupt the integrity or performance of the Service or its infrastructure
• Circumvent any rate limits, security measures, or access controls
• Use the AI advisor for purposes outside credit cards, rewards, and personal finance

We reserve the right to suspend or terminate accounts that violate this section, with or without notice.

Intellectual Property

All content, features, and functionality of the Service — including but not limited to the CrediMax name and logo, software, algorithms, UI designs, text, graphics, and data — are owned by Hercules Holdings LLC or its licensors and are protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal, non-commercial purposes, subject to these Terms.

You retain ownership of any data you provide to us. By using the Service, you grant us a license to use your data to operate and improve the Service, as described in our Privacy Policy.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

We do not warrant that:

• The Service will be uninterrupted, timely, secure, or error-free
• Reward rates, card benefits, or partner transfer ratios displayed are current or accurate — these change frequently and you should verify with your card issuer
• AI-generated recommendations will result in optimal financial outcomes
• Data synced from Plaid will be complete, accurate, or up to date

CrediMax is not affiliated with, endorsed by, or sponsored by any credit card issuer, bank, or financial institution. All card names and issuer names are trademarks of their respective owners.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HERCULES HOLDINGS LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRIOR TO THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so the above limitations may not apply to you.

Termination

By you: You may delete your account at any time from Settings → Delete Account within the app. Deletion is immediate and irreversible. Account data will be handled as described in our Privacy Policy.

By us: We may suspend or terminate your account at our discretion, with or without notice, for any violation of these Terms or for any other reason. We will make reasonable efforts to notify you of termination.

Upon termination, your license to use the Service immediately ceases. Sections 7, 9, 10, 11, and 13 of these Terms survive termination.

Governing Law & Disputes

These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict-of-law provisions.

Any dispute arising from these Terms or your use of the Service shall first be addressed through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in Massachusetts under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction for intellectual property matters.

You agree to resolve disputes individually and waive any right to participate in a class action lawsuit or class-wide arbitration.

Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

• Update the "Effective Date" at the top of this page
• Send an email notification to your registered address at least 14 days before the changes take effect
• Display an in-app notice

Your continued use of the Service after the effective date of updated Terms constitutes your acceptance of those Terms. If you do not agree to the updated Terms, you must stop using the Service and delete your account.
